Allstate Corp. CEO Thomas Wilson saw a big increase in his pay last year, as total compensation for him jumped 53 percent to $17.1 million from $11.2 million the year before.
Much of the increase came in cash incentive pay, as Mr. Wilson took home $6.2 million in cash on top of his $1.1 million salary. In 2011, his cash incentive compensation was $2.3 million.
After a string of tough years marked by market share losses and higher claims payouts due to catastrophes, Northbrook-based Allstate began recovering in 2012. And its beaten-up stock price responded, rising 46.6 percent in 2012 compared with a 26.3 percent gain for the Standard & Poor's 500 Financial Index.
Mr. Wilson's incentive payout was made at 187 percent of its target, according to Allstate's proxy statement, filed today with the Securities and Exchange Commission. “Targets were set based on the 2012 operating plan, which was extensively reviewed, discussed and assented to by the board,” the proxy stated.
Allstate posted net income of $2.31 billion, or $4.68 per share, compared with $787 million, or $1.50 per share, in 2011.
The board increased Mr. Wilson's bonus potential after concluding that his target fell “significantly below” what peer companies offer their CEOs on average. His target bonus was increased to three times his salary from what used to be two times. His top payout was reduced from 250 percent of target to 200 percent.
As a result, his $6.2 million bonus would have been a little more than $5 million under the old system.
In addition, he received $3.9 million in stock awards, $3.9 million worth of stock options and $2 million in pension and “non-qualified deferred compensation.”
After a rough 2011, investors turned bullish last year on Allstate, as the insurer was able to preserve industry-leading profit margins in its modestly shrinking auto insurance business while lifting returns in its underperforming homeowners insurance line through a series of hefty rate hikes.
Allstate's $1 billion acquisition of fast-growing online auto insurer Esurance in late 2011 was key to increasing property and casualty premiums slightly in 2012, helping compensate for continued shrinkage in Allstate's core agent-sold auto insurance business.
After trading below Allstate's book value for many quarters in a row, the stock price now trades at nearly 1.2 times its book value—roughly in line with how the stock has traded on average historically.
